Website Terms of Use

October 5 update: This version adds the Consent and Data Retention Standard, including separate marketing choices and evidence, record retention, legal holds, secure disposal and historical agreement acceptance. Publication does not amend a previously accepted agreement; material changes follow the applicable notice, consent and amendment procedures.

1. Operator

The website is operated by VirtuPinoy Virtual Assistance Services, a sole proprietorship registered in the Philippines under Registration Number 8366326, doing business as VirtuPinoy, with business address at Pulong Santa Cruz, Santa Rosa City, Laguna 4026, Philippines.

2. Acceptance

By accessing or using the website, you agree to these Website Terms. If you do not agree, do not use the website.

If you use the website for a company or organization, you confirm that you are authorized to act for it. Additional click-through or signed terms may apply to an account, hiring request, profile, contract, payment, or other service.

Use of public website pages alone does not bind a Client or Contractor to an MSA, SOW, Contractor Agreement, DPA, or other signed or click-through agreement that requires separate acceptance.

3. Website Purpose

VirtuPinoy provides information about outsourcing, recruitment, contractor opportunities, hiring services, portal features, support, and related business services.

Public website information is general and may not include all conditions, fees, eligibility requirements, or service limitations. A binding service commitment arises only through the applicable accepted terms, signed agreement, SOW, order, or confirmed transaction.

4. Eligibility

You must be at least 18 and legally capable of using the website. You may not use the website if prohibited by law, sanctions, or another binding restriction.

5. Permitted Use

You may use the public website for legitimate purposes such as:

• learning about VirtuPinoy services;
• submitting a genuine business inquiry;
• applying for a legitimate opportunity;
• accessing approved help and legal information;
• navigating to an authorized portal or payment page.

Any other use requires written permission.

6. Prohibited Conduct

You may not:

• violate law or another person's rights;
• impersonate another person or misrepresent identity, authority, qualifications, company, hiring intent, or payment;
• scrape, harvest, index, bulk-download, or commercially exploit content, profiles, contact details, resumes, or data;
• use bots, crawlers, automation, or extraction tools except normal search-engine indexing permitted by robots rules or written authorization;
• attack, probe, scan, reverse engineer, overload, interfere with, or bypass website or portal security;
• upload malware, malicious code, spam, phishing, fraudulent, abusive, discriminatory, defamatory, obscene, or infringing content;
• use information obtained through VirtuPinoy to bypass its hiring, contracting, or payment process;
• copy or misuse the VirtuPinoy name, logo, design, content, forms, reports, matching logic, or workflows;
• attempt to access nonpublic areas or another user's records;
• use the website for unlawful surveillance, credential theft, money laundering, trafficking, exploitation, or prohibited products or services.

VirtuPinoy may investigate, block, report, or preserve evidence of suspected misuse.

7. User Submissions

If you submit a message, document, job description, application, feedback, or other content, you represent that:

• the information is accurate and lawful;
• you have the necessary rights and authority;
• it does not contain malware or infringe rights;
• personal data is provided with an appropriate basis and notice;
• it does not disclose confidential information you are not permitted to share.

You retain ownership of your content. You grant VirtuPinoy a limited license to receive, host, process, transmit, and use it only to respond, provide requested services, secure the website, comply with law, and administer the relationship.

Approved jobs opened for applications may be listed publicly with their role, requirements, responsibilities, schedule and advertised budget or arrangement. Do not include confidential client information, private contact details, credentials or sensitive personal data in public job content or in application and interview messages. Use the approved portal and support workflows for information that requires restricted handling.

Do not submit government identifiers, bank credentials, health information, full payment-card data, or other sensitive information through a general contact form.

8. Intellectual Property

The website and its content—including text, graphics, logos, user interface, software, designs, templates, databases, videos, documentation, and workflows—are owned by or licensed to VirtuPinoy and protected by intellectual-property law.

VirtuPinoy grants you a limited, revocable, non-exclusive, non-transferable right to view public content for personal or internal business evaluation. You may not reproduce, distribute, modify, publish, sell, license, create derivative works, remove notices, or use content to build a competing service without written permission, except as law expressly permits.

Third-party names and marks remain the property of their owners. Reference to a third party does not imply endorsement.

9. Candidate and Contractor Information

Public pages should not expose confidential contractor profiles. Any candidate information shown publicly must be separately authorized and appropriately limited.

Access to approved contractor profiles requires an approved Client account and is governed by the additional terms presented to and accepted by the Client. An approved portal interview messaging feature may be used by its authorized participants for legitimate hiring coordination. Profile access or portal messaging does not authorize off platform contact, scraping, republication, direct engagement or payment outside the approved VirtuPinoy process, or circumvention. Private contact details and external contact links must not be shared in application or interview messages to bypass that process.

10. Links and Third-Party Services

The website may link to payment providers, social media, video tools, client systems, articles, or other third-party services. Links are provided for convenience and do not mean VirtuPinoy controls or endorses the third party.

Third parties have their own terms, privacy practices, availability, and security. You are responsible for verifying the destination and deciding whether to use it.

11. Hosted Payments

VirtuPinoy provides authenticated Clients with the payment methods offered for the applicable invoice, including manual instructions and hosted PayPal checkout for eligible USD invoices where available. Other payment methods are available only where offered for that invoice. Hosted providers operate under their own terms and privacy notices. VirtuPinoy does not ask for provider passwords or online-banking credentials.

Payment is complete only when cleared funds are received and verified, not merely when a link is opened or the user returns to the website. Any refund or cancellation terms stated in an accepted agreement, SOW, or invoice apply.

Verified payment of a fixed price initial invoice satisfies the payment condition only. An engagement may become Ready to Start but will not become Active solely because payment is verified. The agreed start date, required agreements, onboarding and authorized activation conditions continue to apply. Weekly hourly billing, fees and any payment hold are governed by the accepted engagement terms and invoice, not by public website use alone.

12. AI and Matching Information

The website may describe or display AI-assisted or automated candidate matching. Match scores are decision-support tools based on available job requirements and approved profile information. They are not guarantees and must not replace lawful human review. Additional disclosures may be presented when automated matching materially affects the applicable service.

13. No Professional Advice

Website content is not legal, tax, accounting, employment, immigration, investment, cybersecurity, medical, or other regulated professional advice. You should consult qualified advisers for your situation.

Educational content, examples, rates, timelines, scripts, checklists, and templates are general and may become outdated.

14. Availability and Changes

VirtuPinoy may modify, suspend, or discontinue public content or features. The website may be unavailable because of maintenance, hosting, internet, security, provider, or force-majeure events.

VirtuPinoy does not promise that the website will always be uninterrupted, error-free, secure, complete, current, or compatible with every device.

15. Disclaimers

To the maximum extent permitted by law, the website and public content are provided “as is” and “as available.” VirtuPinoy disclaims implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and accuracy, except where such disclaimers are prohibited.

VirtuPinoy does not guarantee:

• that a visitor will become an approved Client or contractor;
• that a candidate will be available or selected;
• that services will produce a particular revenue, efficiency, hiring, or business result;
• that third-party content or links are accurate or secure;
• that all errors or harmful components will be detected.

Nothing excludes rights or warranties that cannot legally be excluded.

16. Limitation of Liability

To the maximum extent permitted by law, VirtuPinoy and its personnel will not be liable for indirect, incidental, special, punitive, exemplary, or consequential damages or lost profit, revenue, opportunity, goodwill, or data arising from public website use.

VirtuPinoy's aggregate liability arising solely from public website use will not exceed P50,000.00, except for liability that cannot lawfully be limited.

17. Indemnity

You will indemnify VirtuPinoy and its personnel against third-party claims arising from your unlawful use, infringing submission, misrepresentation, security attack, circumvention, violation of these Website Terms, or violation of another person's rights, subject to applicable law and a reasonable defense process.

18. Privacy and Cookies

The Privacy Policy explains how personal data, cookies, local storage, analytics, and similar technologies are processed, including the retention schedule in section 10 and separate marketing choices in section 14. Required processing necessary to provide a requested function will be explained in the applicable notice. Optional marketing consent is not a condition of using necessary account or service functions, and a privacy notice acknowledgment does not replace any specific consent required by law.

Provide enough detail to investigate. Do not knowingly submit false notices.

20. Suspension and Enforcement

VirtuPinoy may block an IP address, reject a submission, restrict access, suspend an account, preserve evidence, or report conduct where reasonably necessary for security, legal compliance, investigation, or protection of rights.

21. Governing Law and Disputes

These Website Terms are governed by the laws of the Republic of the Philippines, except where mandatory law applies.

Before formal proceedings, submit a written complaint through support@virtupinoy.com and allow the internal escalation process to conclude. Formal disputes will be resolved in the courts of the Republic of the Philippines.

22. Changes

VirtuPinoy may update these Website Terms. For material changes affecting an account, contract, payment obligation, privacy consent, or legally significant right, VirtuPinoy may require affirmative acceptance before the affected feature or service is used. Public website use alone does not amend a separately signed MSA, SOW, Contractor Agreement, or DPA. Existing users will be notified of material changes. Renewed acceptance should normally be required for material changes to client or contractor fees; payment or payout rules; automatic client charging; fixed-price prepayment; contractor earnings deductions; Tracker monitoring; new personal information categories; camera or screenshot monitoring; material data sharing; dispute resolution; or significant client or contractor responsibilities. The applicable agreement, consent or notice will be presented through its own workflow. Typographical corrections, contact updates, formatting and explanations of an existing process ordinarily require notice only where appropriate, unless applicable law requires renewed acceptance. Historical accepted versions will be preserved and will not be overwritten.

23. General

• If a provision is invalid, it will be narrowed or severed and the remaining terms continue.
• Failure to enforce a provision is not a waiver.
• You may not assign rights under these Website Terms without consent.
• Headings are for convenience.
• Electronic records may be used.
• These Website Terms do not replace a signed MSA, SOW, or Contractor Agreement.
